Author Terms of Service
These Author Terms of Service (“Terms”) is a binding agreement between you (the “Author”) and Audiolibrix Ltd (“Audiolibrix”, “we” or “us”). It sets forth the terms you agree to when you make a piece of content (“Post”) available for narration as an unabridged audio recording. You enter into this agreement each time you register a new Post on our Services (websites, platform, marketplace, mobile apps).
That means that there is a separate agreement between you and us for each Post you make available on our Services.
Among other things, in this agreement you grant to us distribution rights in any audio recording of the Post that is completed through our Services (a “Blogshow”) in all territories (the “Territory”) and the language you indicate (the “Language”) when creating a Profile for your Post on our Services.
Audiolibrix automatically grants an exception to the Author, who may provide the Blogshow via websites that belong to the Author. Audiolibrix allows the Author to generate a unique widget for any of his or her Blogshows and embed it into his or her websites.
By using our Services, you agree to these Terms. If you do not agree to any part of the Terms, you must refrain from using our Services.
Authority to Enter Into this Agreement You (the “Author”) represent and warrant that you are legally entitled to make the content available for audio production and distribution as a Blogshow because you own the rights to the content you register with our Services.
You have not transferred the rights to an audio production of the content to any third party.
You represent and warrant that:
- You have the full right, power and authority to enter into and fully perform this Agreement;
- You have obtained all rights necessary for us to exercise the rights granted under this Agreement;
- Neither the Post itself nor the materials embodied in it, nor the production and distribution of the content as permitted hereunder nor the exercise of the rights granted under this agreement will violate any applicable law or infringe upon or otherwise violate the intellectual property, proprietary or other rights of any person or entity, including contractual rights, copyrights, trademarks, common law rights, rights of publicity or privacy or moral rights;
- The Post does not contain any defamatory material;
- The Post is not in the public domain and does not fall within any other category of the content that is not eligible for production on our services; and
- You’re responsible for the content of the Post. This means you assume all risks related to it, including someone else’s reliance on its accuracy, or claims relating to intellectual property or other legal rights.
- We can remove any Posts you register and post on our Services for any reason.
Exclusive Right to Produce a Blogshow
Once you have registered the Post with our Services, you will not produce, or authorize the production of, an audio recording of the Post in the Language for distribution in the Territory other than through our Services until you remove the content from our Services so that the content no longer has a profile on our Services and is no longer listed as available for production on our Services.
Grant of Rights
You grant us the exclusive right and license to record, produce, publish and distribute an unabridged recording of the Post in the Language and to use such recording for the purpose of our Services throughout the Territories.
You may remove the Post from our Services at any time after you have registered it and before you have agreed with our Blogshow Production Standard Terms by following the procedures provided on our Services.
When you agree with our Blogshow Production Standard Terms, you will not produce, or authorize the production of, an audio recording of the Post in the Language for distribution in the Territory other than through our Services until the date that is 5 years from the date the completed Blogshow is delivered to our Services in accordance with the terms set forth in the Production Agreement, unless no Blogshow is produced within 1 month after the date you registered the Post for production with us.
By registering a Post on our Services, you grant us rights to audition 3rd party Producers and to produce a part of the Blogshow for a non-exclusive, non-transferrable, non-sublicensable license solely to use their audition recording as a sample of their work on their Producer Profile page and for no other purpose.
Distribution By us
You grant to us the exclusive right to distribute the Blogshow throughout the Territory from the date the Blogshow is completed until the date that is 5 years from the date the completed Blogshow is delivered to our Services in accordance with the terms set forth in the Production Agreement.
As full consideration for the exclusive distribution rights granted by you to us, you have the chance to receive revenue based on performance factors (the “Monetisation Program”). Based on the performance of a Blogshow, we will pay you a portion of revenues received by us from subscription fees and ads, as determined by us.
Audiolibrix will send you a payment for any revenues accrued during a given calendar month by sending a payment after that month. Audiolibrix reserves the right to adjust the factors by which post performance and revenue are determined at any time.
Account and Payment Method Requirement
In order to accrue or receive payment of any revenues under the Monetisation Program, you must have an active account on our Services and a PayPal account associated with it at all times. Audiolibrix does not owe you for any revenues that may be associated with your content during any period in which you do not have a valid account or payment method.
Changes or Discontinuation of Author Program
Audiolibrix reserves the right to modify, suspend or discontinue the Author Program with or without any notice to you. Audiolibrix will not be liable to you or any third party for any such modification, suspension, or termination.
Audiolibrix may change these Terms from time to time so we encourage you to periodically review this page for the most up-to-date version.
By using the Author Program, you agree to receive communication from us related to it, including marketing communication such as newsletters, special offers, promotional announcements, and customer surveys, to your registered email address or via other methods.
If required by law, you are responsible for reporting and paying any applicable taxes in connection with your participation in the Author Program. Such taxes may include duties, customs fees, or other taxes (other than income tax), along with any related penalties or interest.
Governing Law & Forum
The governing law and dispute resolution provisions of Audiolibrix’s Terms of Service also apply to these Author Program Terms and any dispute arising under them.
You participate in the Author Program at your own risk. You agree that you are solely responsible for your actions in connection with the Author Program, any breach of your obligations under the Author Program Terms, and for the consequences of any such breach.
Any capitalized terms used but not defined in these Author Program Terms have the meanings given to them in the Terms of Service. Except as modified by these Terms, Terms of Service remain in effect. Audiolibrix’s right to modify or revise the Terms of Service also applies to these Author Program Terms.
